Sucatec Pte Ltd: Standard Terms and Conditions of Trading

1. Definitions

Company means Sucatec Pte Ltd and any of its associated companies.

Buyer means any individual, firm, company, or other entity purchasing goods from the Company.

Goods means any products or services supplied by the Company.

Contract means any agreement for the sale of goods between the Company and the Buyer.

2. Application

These terms and conditions govern all sales of goods by the Company to the Buyer and take precedence over any other terms provided by the Buyer, unless explicitly agreed in writing by an authorised representative of the Company.

3. Prices and Payment Terms

• Prices are agreed at the time of order and exclude VAT, delivery, or handling charges unless otherwise stated.
• Payment must be made in full within the agreed stipulated payment terms as stated on the invoice or otherwise agreed in writing.
• Late payments are subject to interest at 5% per annum above the base rate of HSBC Bank plc, accruing daily.
• The Company reserves the right to modify payment terms or require advance payment at its discretion.

4. Delivery

• Delivery dates are estimates only; the Company is not liable for delays.
• The Buyer is responsible for delivery costs unless otherwise agreed.
• If the Buyer refuses delivery, the Company reserves the right to charge for storage and recover costs.
• Risk in the goods passes to the Buyer upon delivery.

5. Title Retention

• Title in the goods remains with the Company until full payment is received.
• If the Buyer fails to pay, the Company reserves the right to reclaim the goods.

6. Customer Communication and Responsibilities

• The Buyer shall ensure that all orders, requirements, and specifications are clearly communicated.
• The Buyer is responsible for ensuring compliance with local regulations, including import controls and product certifications.
• The Company shall not be liable for any costs incurred due to non-compliance with import/export requirements.

7. Liability

• The Company's maximum aggregate liability for any claim arising from negligence, breach of contract, or any other cause shall not exceed SGD 20,000 per occurrence.
• The Company shall not be liable for indirect or consequential losses, including loss of profits, revenue, or business interruption.
• Claims for defective goods must be made within 7 days of delivery.

8. Force Majeure

The Company shall not be liable for delays or non-performance due to events beyond its control, including but not limited to acts of God, war, strikes, or supply chain disruptions.

9. Cancellation and Returns

• Orders may only be cancelled with written consent from the Company.
• The Buyer is responsible for returning any agreed-upon returns in their original condition.

10. Governing Law and Jurisdiction

• This contract is governed by Singaporean law, and any disputes shall be resolved in Singaporean courts.
• The Company reserves the right to take legal action in any jurisdiction where the Buyer operates.
